Terms of Sale
Last updated: 12 October 2026
These Terms of Sale (the “Terms of Sale”) govern the subscription to and performance of paid subscriptions to ProfBloom, published by Guillaume NAVY, sole trader registered under SIRET number 84376461400031, with registered offices at 78, Avenue des Champs-Élysées, Bureau 326, 75008 Paris, France (“ProfBloom”).
They supplement the Terms of Use, which govern access to the Service and remain applicable. In the event of any conflict between the two documents, these Terms of Sale prevail in all matters concerning the paid subscription.
The Terms of Sale are accepted by the Customer at the time of subscribing, before any payment. Such acceptance is a prerequisite to the order being validated.
Definitions
In these Terms of Sale, the following terms have the meanings set out below:
- Customer: the Teacher or teaching organisation taking out a paid subscription to the Service.
- Service: ProfBloom together with all of its features.
- Plan: the offer taken out by the Customer among those presented on the pricing page.
- Add-on: an additional feature taken out alongside a Plan.
- Subscription period: the period, monthly or annual, for which the subscription is billed.
Plans and add-ons
ProfBloom offers three Plans, presented on the pricing page: Pedagogy, Professional and School. Each Customer takes out a single Plan, higher Plans potentially including the features of the previous ones.
The Student group management Add-on may be taken out alongside the Pedagogy or Professional Plans. The School Plan includes all Add-ons.
The features included in each Plan and Add-on are detailed on the pricing page applicable at the time of subscribing.
The School Plan is subject to a quotation. Any price shown on the pricing page is a starting price, with a tailored proposal drawn up according to the Customer's needs.
ProfBloom may change the composition of its Plans and Add-ons under the conditions set out in the article “Changes to prices and plans”.
Prices
The prices of Plans and Add-ons are those shown on the pricing page at the time of subscribing. They are expressed in euros and specify, depending on the offer chosen, the billing frequency and arrangements.
VAT not applicable, Article 293 B of the French General Tax Code. The prices shown are net of tax and correspond to the amounts actually due.
For the twelve-month commitment option, any monthly price displayed is a monthly equivalent. The price corresponding to the full twelve-month period is billed in a single instalment when subscribing.
The price of the School Plan is set out in the quotation accepted by the Customer.
Where the Customer enables online collection of their students’ payments, ProfBloom charges a commission on each payment received by this means: 2% where the payment is below 100 euros, 1.5% from 100 euros to under 200 euros and 1% from 200 euros, the rate applying to the full amount of the payment. Equivalent thresholds apply in other currencies; those for the Customer’s currency are shown to them in the application. This commission is deducted from the amount paid out to the Customer, in addition to the fees of the payment service provider. It is returned to the Customer in proportion to the amount refunded when a student is refunded. It is not charged where the payment service provider does not allow it in the Customer’s country.
Subscribing
Subscriptions are taken out online from the Service. The Customer selects their Plan, the commitment option they want and, where applicable, the Add-ons.
Before confirming their order, the Customer is shown a summary stating the Plan and Add-ons selected, the length of the commitment, the billing arrangements and the total amount due. They may check and correct their order before confirming it.
Confirming the order is subject to prior acceptance of these Terms of Sale by means of a dedicated tick box. It forms the contract and entails the obligation to pay.
A confirmation of the subscription is sent to the Customer by email.
The School Plan, taken out on quotation, is formed by the Customer's written acceptance of the commercial proposal sent to them.
Billing and payment
Payment is made through a third-party payment service provider. ProfBloom does not have access to the Customer's full bank card details.
Under the monthly option, the amount is billed when subscribing and then at each monthly instalment date. Under the twelve-month commitment option, the full price for the annual period is billed when subscribing.
An invoice is made available to the Customer for each instalment.
Should a payment fail, the Customer is informed and may be invited to update their payment method or settle the amount due. If the payment remains outstanding seven (7) days after notification, ProfBloom may suspend access to the paid features until the situation is resolved.
Suspension for non-payment does not terminate the contract and does not release the Customer from paying the sums due. The Customer's data is retained during the suspension under the conditions set out in the Privacy Policy.
For business Customers, any late payment automatically gives rise, without prior reminder, to penalties calculated at the European Central Bank refinancing rate in force on 1 January or 1 July, depending on the half-year concerned, increased by ten (10) percentage points, together with a fixed indemnity of forty (40) euros for recovery costs. Where the recovery costs actually incurred exceed that indemnity, ProfBloom may claim additional compensation upon supporting evidence.
No discount is granted for early payment.
Duration, renewal and termination
No-commitment option
The subscription is entered into for one month and renews automatically at each instalment date for an identical period.
The Customer may opt out of its renewal at any time, up to the day before the renewal date, from their Account settings. The subscription then ends at the close of the current monthly period.
Twelve-month commitment option
The subscription is entered into for twelve months and renews automatically for an identical period at each instalment date.
The Customer may opt out of its renewal at any time, up to the day before the renewal date, from their Account settings. The subscription then ends at the close of the current annual period.
Where the applicable regulations require it, ProfBloom informs the Customer by dedicated email that they may choose not to renew their subscription, within the time limits laid down by law.
Effects of termination
Termination, under either option, ends the renewal without giving rise to any refund of the sums covering the period already paid for, subject to applicable legal provisions. The Customer keeps access to the Service until the end of that period.
By way of exception, a pro rata refund of the unused period is granted where termination results from ProfBloom's failure to meet its obligations, in particular in the event of prolonged unavailability of the Service attributable to it.
It is recommended that the Customer export, before the end of their subscription, the data they wish to keep independently. The retention and deletion of data are set out in the Privacy Policy.
Right of withdrawal
Where they qualify as a consumer, the Customer has fourteen (14) days from the conclusion of the contract to exercise their right of withdrawal, without having to give reasons.
Access to the paid features is opened as soon as the order is paid. Consumer Customers who withdraw within the fourteen (14) day period are refunded under the conditions set out below.
Consumer Customers may exercise their right of withdrawal by email to contact@profbloom.com, or by any other unambiguous statement expressing their wish to withdraw.
The model withdrawal form set out below may also be used, without its use being mandatory.
Refunds of the sums due are made within fourteen (14) days of the date on which ProfBloom is informed of the Customer's decision to withdraw, under the conditions laid down by the applicable regulations.

The right of withdrawal set out above does not apply to Customers acting for purposes falling within the scope of their professional activity, except where the applicable regulations provide otherwise.
Changes to prices and plans
ProfBloom may change its prices and the composition of its Plans and Add-ons.
No price change affects a Subscription period already paid for. The Customer is informed of any price increase at least thirty (30) days before it takes effect, which occurs no earlier than the following renewal.
A Customer who does not accept the new price may opt out of the renewal of their subscription before it takes effect. Otherwise, renewal of the subscription at the new price constitutes acceptance of it.
ProfBloom may add, modify or replace features, in particular in order to develop or improve the Service. Where a change entails the removal or substantial degradation of a feature included in the Plan taken out, the Customer is informed beforehand.
Where the applicable regulations so provide, the Customer may then terminate their subscription and obtain a pro rata refund of the remaining paid period.
Availability of the Service
ProfBloom undertakes to use reasonable means to ensure the availability and proper operation of the Service, without guaranteeing uninterrupted availability.
The Service may be temporarily interrupted, in particular for maintenance operations, updates, technical incidents or circumstances beyond ProfBloom's control.
Scheduled maintenance operations are announced in advance wherever possible.
In the event of prolonged unavailability of the Service attributable to ProfBloom and constituting a breach of its obligations, the Customer has the rights provided for by these Terms of Sale and by the applicable regulations.
In accordance with the provisions of the French Consumer Code, consumer Customers benefit from the legal guarantee of conformity applicable to digital content and services. In the event of a lack of conformity, they may require the Service to be brought into conformity and, failing that, obtain a price reduction or termination of the contract, under the conditions and within the time limits laid down by law.
Customer data
The Customer retains the rights they hold in the data and content they enter, import or create within the Service, under the conditions set out in the Terms of Use.
The Service allows the Customer to export the data for which an export feature is available. Regular exports are recommended, in particular for the accounting and management data the Customer wishes to keep.
ProfBloom provides features that make it easier to track and manage certain accounting, financial or administrative information, but does not ensure the legal retention of that data on the Customer's behalf. It is for the Customer to retain and archive it in accordance with the obligations applicable to them.
The processing, retention and deletion of personal data are described in the Privacy Policy.
Termination for breach
Where the Customer fails to meet their contractual obligations, ProfBloom may ask them to remedy the situation within a reasonable time. Failing remedy within the stated time, ProfBloom may terminate the subscription.
In the event of a serious breach, or where immediate action is necessary — in particular in cases of fraud, unlawful activity, or harm to the security of the Service, to personal data, to the rights of third parties, or to the safety or integrity of a minor — ProfBloom may immediately suspend or terminate the subscription, without notice.
Termination resulting from a breach attributable to the Customer gives rise to no refund of sums already paid, subject to applicable legal provisions.
Where ProfBloom fails to meet its contractual obligations, the Customer may ask ProfBloom to remedy the failure within a reasonable time. Where the breach warrants it and is not corrected within that time, the Customer may terminate their subscription and is entitled, where applicable, to a refund of the sums corresponding to the remaining paid period, subject to applicable legal provisions.
Liability
ProfBloom is bound by an obligation of means in providing the Service and undertakes to use the reasonable means necessary for its proper operation.
The Customer remains responsible for their use of the Service, for their contractual relationships with their Students, and for the tax, social security, accounting and professional obligations applicable to them.
ProfBloom cannot be held liable for damage resulting from use of the Service contrary to these Terms of Sale or to the Terms of Use, nor for malfunctions attributable to the Customer, their equipment, their internet connection, a third-party service or an event of force majeure.
For business Customers only, save in the event of personal injury, wilful misconduct, gross negligence, or where the law prohibits it, ProfBloom's liability under the contract is limited to direct and foreseeable damage and may not exceed the total amount actually paid by the Customer to ProfBloom during the twelve (12) months preceding the triggering event.
For business Customers only, ProfBloom is not liable for indirect damage, in particular loss of revenue, of customers, of business or of opportunity.
For consumer or non-professional Customers, ProfBloom's liability applies in accordance with the applicable legal provisions, and no provision of these Terms of Sale has the object or effect of limiting the rights they enjoy under mandatory provisions.
Force majeure
Neither party may be held liable for a failure to meet its obligations resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code.
Where the impediment is temporary, performance of the obligations concerned is suspended for its duration.
If the impediment continues for more than sixty (60) days or becomes permanent, either party may terminate the contract. The Customer is then refunded, where applicable, on a pro rata basis for the paid period during which the Service cannot be provided.
General provisions
These terms are drafted in French and translated into English for information purposes. In the event of any discrepancy between the two versions, the French version prevails.
If any provision of these Terms of Sale is declared void, invalid or unenforceable, the remaining provisions remain applicable.
ProfBloom may transfer this contract to a third party, in particular as part of a sale, restructuring or transfer of its business, provided that the transfer does not reduce the Customer's rights and complies with the applicable regulations.
The Customer may not assign or transfer their subscription to a third party without ProfBloom's prior consent.
The fact that either party does not exercise a right or does not rely on a breach does not constitute a waiver of its right to exercise it, or to rely on that breach, at a later date.
Governing law and dispute resolution
These Terms of Sale are governed by French law, subject to any mandatory provisions applicable to the Customer by reason of their country of residence.
In the event of a dispute, the Customer is invited to contact ProfBloom first in order to seek an amicable solution.
Where they act as a consumer, the Customer may, after a prior written complaint to ProfBloom has remained unresolved, use free of charge the consumer mediator to which ProfBloom belongs:
